These Buyer Terms (these "Buyer Terms") apply when you use the Cope platform to purchase a Product from a Creator, whether through cope.com, an embedded checkout on a Creator-controlled web property, or any other Cope-supported channel. These Buyer Terms are part of the Cope Global LLC Terms of Service (the "Terms"), are incorporated into the Terms by reference, and are subject to the Privacy Policy and the other Ancillary Policies referenced in the Terms. Capitalized terms not defined here have the meanings given in the Terms.
THE TERMS INCLUDE A MANDATORY ARBITRATION AGREEMENT, A CLASS ACTION AND JURY TRIAL WAIVER, AND A 30-DAY OPT-OUT PROCEDURE THAT AFFECT YOUR LEGAL RIGHTS. THOSE PROVISIONS APPLY TO YOUR USE OF THE PLATFORM AS A BUYER. NOTHING IN THESE BUYER TERMS LIMITS A CONSUMER'S NON-WAIVABLE RIGHTS UNDER THE LAW OF THE COUNTRY IN WHICH THE CONSUMER HABITUALLY RESIDES.
In these Buyer Terms, "you" and "your" mean the person purchasing or attempting to purchase a Product through the Platform; "Cope," "we," "us," and "our" mean Cope Global LLC; and "Creator" means the seller of the Product you are purchasing.
1(a) The Creator Is the Seller. When you purchase a Product through the Platform, you are purchasing it from the Creator that lists the Product. The Creator is identified at checkout and on the order confirmation as the seller. Cope acts as the Creator's limited agent for receiving your payment, holding it through our third-party payment service providers, and settling it to the Creator. Except as Cope may otherwise specify in writing at the point of sale, Cope is not the seller of, and does not take title to, any Product.
1(b) Payment Discharge. Your payment to Cope (or to a payment service provider on the Creator's behalf) for a Product satisfies your payment obligation to the Creator with respect to that Product, in the amount paid and to the extent collected.
1(c) Card Statement Descriptor and Receipts. Charges may appear on your card or bank statement under Cope's name or under a descriptor associated with the Cope platform, reflecting Cope's role as the Creator's authorized payment-collection agent. The form and content of order confirmations, receipts, and invoices may vary by region, payment method, and Product type, but in each case identify the applicable Creator as the seller of the Product.
1(d) Where to Direct Questions. For questions about billing, payment processing, refunds, account access, or how the Platform works, contact us at support@cope.com. For questions about a specific Product, contact the Creator. Cope may, at its discretion, assist you in communicating with a Creator through our Resolution Center.
1(e) Cope Is Not a Financial Institution. Cope is not a bank, money transmitter, money services business, or other regulated financial institution. Funds collected from you are held by our third-party payment service providers (including Stripe and our buy-now-pay-later partners) for the benefit of Cope's customers in accounts those providers maintain and control. Cope does not directly hold customer funds.
2(a) No Account Required for Most One-Time Purchases. You may make a one-time purchase as a guest, without creating a Cope account, except where an account is required to access the Product or to receive recurring billing.
2(b) Account Required for Subscriptions and Recurring Billing. If you purchase a Subscription Product (defined in Section 6) or any other Product with recurring billing, you must either create a Cope account or use the email-based subscription self-service link sent to the email address you provide at checkout. The email-based link enables you to view, manage, and cancel your subscription without maintaining a full Cope account, in accordance with applicable consumer-protection law.
2(c) Account Information. You agree to provide accurate, current, and complete information during account creation and any guest checkout, and to keep that information current. You are responsible for activity conducted through your account or the email-based self-service link associated with your purchase, and you must keep your credentials and access link confidential. Notify us at support@cope.com if you suspect unauthorized access to your account or to your subscription self-service link.
2(d) Eligibility. You must be at least eighteen (18) years old (or the age of legal majority in your jurisdiction, whichever is greater) to purchase a Product. Certain Products are restricted to higher minimum ages, as disclosed at the point of sale.
3(a) Authorized Payment Methods. You may use only payment methods that we make available at checkout for the relevant Creator and Product. By providing your payment details, you authorize us and our payment service providers to (i) store your payment credentials; (ii) charge your payment method for the Product, applicable taxes, fees, shipping, and any other amounts displayed at checkout, including recurring charges for Subscription Products; and (iii) take additional fraud-prevention or verification steps that we or the payment service providers reasonably consider necessary, including pre-authorization holds and identity-verification requests.
3(b) Saved Payment Methods. If you save a payment method to your Cope account, you authorize us to maintain it and use it for your future purchases on the Platform until you remove it. We or our payment service providers may receive updated card information from your card issuer (such as new card numbers or expiration dates) to prevent service interruption. To remove or change a stored payment method, visit your account profile.
3(c) Authorization to Charge. Each time you initiate a purchase, you reaffirm your authorization for us and our payment service providers to charge the payment method you select for the amounts displayed at checkout. You are responsible for any consequence of providing inaccurate or unauthorized payment information.
3(d) On-Platform Transactions. All payments for Products must be made through the Platform's checkout. We do not facilitate or recognize off-platform payments, and you should never send money for a Product directly to a Creator or any other person outside the Platform's checkout. Cope is not responsible for, and cannot assist with, transactions that occur outside the Platform.
4(a) Payment Service Providers. We use third-party payment processors (including Stripe and PayPal, where supported) and one or more buy-now-pay-later providers to facilitate transactions. These payment service providers process your payment, manage chargebacks, and may perform fraud and identity checks. Each payment service provider has its own terms of service, acceptable-use policy, and privacy notice; your use of a payment service provider's services is governed by those terms.
4(b) Buy-Now-Pay-Later. If you elect a buy-now-pay-later option at checkout, your installment obligation is owed to the buy-now-pay-later provider under the agreement you enter into with that provider. The buy-now-pay-later provider is responsible for installment billing, late-payment treatment, and credit reporting (where applicable). Cope is not a party to the credit relationship between you and the buy-now-pay-later provider.
4(c) Processor Errors. Subject to applicable law, we are not responsible for errors or failures of a payment service provider. If a payment service provider rejects, holds, or reverses a transaction, we may suspend or terminate your access to the affected Product.
5(a) Pricing. Each Creator sets the price of its own Product. Before you complete a purchase, the total amount due is displayed at checkout, including any applicable taxes and fees. Prices are displayed in the currency selected by the Creator (typically U.S. dollars or euros). If your payment method is denominated in a different currency, your card issuer or bank may apply currency-conversion or foreign-transaction fees, which are determined by your card issuer or bank and not by Cope.
5(b) Cope Fees. Cope may charge service or transaction fees for the use of certain Platform features. Where Cope fees are charged to you (rather than to the Creator), they are disclosed at checkout. Cope fees are non-refundable except where required by applicable law or expressly stated in these Buyer Terms or the Refund & Chargeback Policy.
5(c) Taxes. Prices may be displayed inclusive or exclusive of value-added tax, sales tax, goods-and-services tax, and similar taxes, as determined by applicable law and the Creator's settings. Where required by law, Cope or the Creator (as applicable) will collect the appropriate taxes and remit them to the relevant tax authority. In some jurisdictions, Cope is required by law to act as the deemed supplier or marketplace facilitator and to collect tax on the Creator's behalf; this statutory tax-collection role does not change the Creator's status as the seller of the Product.
5(d) Promotions. We or Creators may offer promotional codes, discounts, or coupons subject to specific terms, restrictions, and expiration dates disclosed at the time of offer. Unless expressly stated, promotions cannot be combined, are non-transferable, have no cash value, and are valid only for the Buyer to whom they were offered. Promotions issued in error may be revoked.
6(a) Subscription Products and Auto-Renewal. A "Subscription Product" is a Product that bills you automatically each billing period (for example, monthly or annually) until cancelled. Unless otherwise stated in writing, your subscription begins on the date of your initial purchase and continues for the period specified at checkout. Most subscriptions automatically renew at the end of each billing period unless you cancel before the next renewal date or unless we or the Creator terminate the subscription. By purchasing a Subscription Product, you authorize us to charge your payment method for each renewal at the then-current price, plus applicable Taxes and fees, until cancellation.
6(b) Renewal Notices and Price Changes. Where required by applicable law (including in Germany), we will provide advance notice of upcoming renewals or material changes to subscription terms by email to the address associated with your purchase. Creators may change subscription prices for future billing periods, subject to applicable law. We will give you advance notice of any material price increase by email and through the Platform. If you do not accept a price change, you must cancel before it takes effect; otherwise, the change applies starting with your next billing period.
6(c) One-Time Payment Products. A "One-Time Payment Product" is a Product available for a single payment, with the access period (if any) disclosed at the point of sale. Unless otherwise specified at checkout, your access begins immediately after payment is captured. A One-Time Payment Product does not renew; unless you make another purchase, no further charges will occur in connection with that Product.
6(d) Free Trials. A Creator may offer a free trial period before paid billing begins. To start a free trial, you must provide a valid payment method. We will not charge your payment method during the trial period, except for any non-refundable fees disclosed at the time of trial activation. Unless you cancel before the trial period ends, your free trial will automatically convert to a paid subscription at the price disclosed at the time of activation, and you authorize us to charge your payment method accordingly. Free trials may be limited to one per person, household, or payment method. We may verify trial eligibility and decline trials we suspect to be abusive or fraudulent.
6(e) Cancellation. You may cancel a subscription at any time before the next renewal date. To cancel, use your Cope account dashboard, the email-based subscription self-service link sent to you, or the cancellation procedures published in our Help Center, in each case in accordance with applicable law. Cancellation prevents future renewals; it does not entitle you to a refund of the current billing period except as required by law or as provided in Section 7 or the Refund & Chargeback Policy. For pre-fulfillment cancellation of a One-Time Payment Product, only the Creator can cancel a completed order; you may request a cancellation from the Creator through the Platform's messaging or the Resolution Center. If a Creator declines to cancel, your remedy is to request a refund under Section 7 if you are eligible.
6(f) Failed Payments. If a payment fails, we may, subject to applicable law and payment-network rules, (i) retry the same payment method; (ii) charge a backup payment method that you have added to your account; (iii) request that you supply an alternative payment method; or (iv) suspend or terminate your access to the affected Product. For a Subscription Product, we may continue retrying payment until you cancel or until we determine, acting reasonably, to terminate the subscription. You remain responsible for amounts that remain unpaid, plus any reasonable costs of collection permitted by applicable law.
7(a) Refund Window. Unless a different refund period applies under applicable law or is disclosed by the Creator at the point of sale (in which case the longer period governs), you may request a refund within fourteen (14) days after the date of purchase by contacting us at support@cope.com or using the Cope Resolution Center. We will review each request in our reasonable discretion and decide whether to approve or deny it consistent with these Buyer Terms, the Refund & Chargeback Policy, and applicable law. We may consult the applicable Creator as part of our review.
7(b) EU Digital Content Withdrawal. If you are a consumer in the European Union, the European Economic Area, or the United Kingdom, the laws of your country of habitual residence may provide a withdrawal right with respect to certain Products, typically for a period of fourteen (14) days from conclusion of the contract or, for goods, from delivery (the "Withdrawal Period"). For digital content not supplied on a tangible medium (for example, downloads, courses, software, and most CopeMember content), under Article 16(m) of Directive 2011/83/EU and corresponding member-state implementations, you waive your right of withdrawal once performance has begun if you have given your express prior consent to the immediate performance and acknowledged that you lose your right of withdrawal as a result. We collect that express consent and acknowledgement at checkout for digital content Products; if you do not give that consent, we will not commence performance until the Withdrawal Period has expired.
7(c) When Cope May Intervene. We may, in our reasonable discretion and consistent with the Refund & Chargeback Policy, intervene in a dispute and approve a refund on your behalf where, for example, there is no valid proof of delivery for a physical Product, the Product differs significantly from its description or photos, or the Product was time-sensitive and was not delivered in time for the intended use (with appropriate proof). The Refund & Chargeback Policy describes the categories of disputes Cope handles and the categories Cope generally does not handle.
7(d) Refund Method and Timing. Approved refunds are returned to the original payment method, [typically within three (3) to five (5) business days — timing to be confirmed], subject to payment-network and card-issuer processing times. We do not offer Product exchanges; we offer refunds only.
8(a) For Subscription Products. Creators may change subscription fees for future billing periods on advance notice as provided in Section 6(b). If you do not accept a price change, you must cancel before it takes effect.
8(b) Product Modifications. Creators may modify, update, or discontinue Products at any time. If a Creator discontinues a Subscription Product to which you have an active subscription, your access continues through the end of the current billing period; the subscription will not renew. For a One-Time Payment Product, your access continues for the access period disclosed at purchase, except where the Creator's failure to deliver entitles you to a refund under Section 7 or applicable law.
8(c) Cope Not Responsible for Creator Changes. Cope is not responsible for a Creator's product changes or discontinuations, except for Cope's express obligations under these Buyer Terms, the Refund & Chargeback Policy, and applicable law. If a Creator significantly reduces a Product's value or functionality, contact us through the Resolution Center.
9(a) License, Not Sale. When you buy access to a course, community, software, or other digital Product on the Platform (collectively, "Content"), you are not purchasing ownership of the Content. You are purchasing a limited license to access and use the Content for your personal, non-commercial use.
9(b) License Terms. The Creator owns all right, title, and interest in and to the Content. Subject to your compliance with these Buyer Terms, the Terms, and any Creator-specified license or end-user license that applies to the Content, the Creator (and, where applicable, Cope) grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Content during the access period disclosed at purchase, solely for your own use. You may not grant access to others, transfer your license, or use the Content for commercial resale or redistribution.
9(c) Creator Terms Apply. A Creator may impose additional terms governing your access to or use of its Content (for example, course-specific terms, software end-user license terms, or community rules). Those Creator-specific terms apply to you in addition to these Buyer Terms.
10(a) Submitting Reviews. The Platform may let you submit reviews, ratings, comments, or other feedback about Products, Creators, or your experience ("Reviews"). You are responsible for your Reviews, and you agree that they will be truthful, based on your genuine experience, and will not be false, misleading, defamatory, infringing, or otherwise unlawful. You may not submit a Review in exchange for compensation without clearly disclosing that arrangement, and you may not submit a Review for a Product you have not purchased or used where the Platform presents the Review as a verified purchase.
10(b) License to Your Reviews. You grant Cope and the applicable Creator a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, distribute, adapt for formatting, and otherwise use your Reviews in connection with operating, promoting, and improving the Platform and the relevant Products. This license continues for as long as your Review remains on the Platform and for a reasonable period afterward to the extent needed for backups, records, and legal compliance. You retain any ownership rights you have in your Review.
10(c) Use of Your Name and Likeness. In connection with a Review you submit, Cope and the applicable Creator may display the name, username, or other identifier you choose to associate with the Review, and any image or likeness you include in it, solely to attribute and present the Review. Except as you separately agree in writing, Cope and Creators will not use your name, likeness, or identity to suggest that you endorse a Product or Creator beyond the content of the Review itself, and will not use your identity for other advertising purposes without your consent.
10(d) Moderation and Removal. Cope and Creators are not obligated to publish, retain, or display any Review, and may decline to publish, or may edit for length or format, screen, or remove any Review at any time, including Reviews that violate these Buyer Terms, the Terms, or any Ancillary Policy. Removing or declining to publish a Review does not waive any rights or remedies. Cope does not adopt, endorse, or guarantee the accuracy of any Review, and Reviews reflect the views of the individuals who submit them, not Cope.
11(a) You Agree Not To:
11(b) Tied to Purchasing Account. Except as expressly permitted at the point of sale, all purchases are tied to the purchasing account or, for guest purchases, to the email address used at checkout, and are non-transferable.
12(a) Suspension or Termination by Us. We may suspend or terminate your account or your access to a Product at any time, with or without notice, where we determine, acting reasonably, that you have violated these Buyer Terms, the Terms, or another Ancillary Policy; that you have engaged in fraud, chargeback abuse, or other harmful conduct; or that suspension or termination is required by a payment service provider or by applicable law. We may also suspend access while we investigate suspected violations.
12(b) Effect on Purchases.
12(c) Creator Blocks or Restrictions. A Creator may block or restrict your access to its Product (for example, for violating Creator-specific community rules). We are not responsible for loss of access caused by a Creator's exercise of those rights. Use the Resolution Center to communicate with the Creator. We may, at our discretion, assist in resolving the issue but do not guarantee resolution or refund.
13(a) Resolution Center First. Before initiating a chargeback or other payment dispute with your card issuer or bank, please contact us at support@cope.com or through the Cope Resolution Center, and allow us a reasonable opportunity to resolve the issue. Most issues can be resolved through the Resolution Center more quickly than through a chargeback, and using the Resolution Center first preserves your rights under these Buyer Terms.
13(b) Chargebacks. You retain any rights you have under your card-issuer or bank agreement, applicable card-network rules, and applicable law to dispute a charge. If you initiate a chargeback that we, acting reasonably, determine to be invalid, abusive, or made in bad faith, we may pursue any remedies available to us under these Buyer Terms, the Terms, and applicable law, including suspending or terminating your account, blocking future purchases, and recovering disputed amounts and reasonable costs of dispute administration.
13(c) Reservation. This Section 13 does not limit any non-waivable rights you have under applicable law, including under EU consumer-protection law or U.S. state consumer-protection law.
14(a) Terms of Service Govern. The Terms govern your use of the Platform as a User. The provisions of the Terms, including dispute resolution, governing law, mandatory arbitration, the class-action and jury-trial waiver, the 30-day consumer opt-out, indemnification, and limitation of liability, are incorporated into these Buyer Terms by reference and apply to you. Where the subject matter of a provision is more specific to your purchase of a Product as a Buyer, these Buyer Terms govern in accordance with Section 13(b) of the Terms; otherwise, the Terms continue to apply.
14(b) Jurisdictional Savings. Nothing in these Buyer Terms limits any non-waivable rights or protections you have as a consumer under the law of the country or jurisdiction in which you habitually reside. Where any provision of these Buyer Terms conflicts with such non-waivable rights, those rights prevail to the extent of the conflict, and the remaining provisions continue in effect.
